Trans-Oil Group Closes Acquisition of Frial SA Terminal in Port of Constanța

Trans-Oil Group is pleased to announce the successful completion of the acquisition of Frial SA, a leading port infrastructure operator in the Port of Constanța, Romania. The final step in the transaction was marked by the signing of the Closing Memorandum on 30 July 2025 between Aragvi Sea Terminal SRL, the Group’s Romanian subsidiary, and the previous owners of Frial SA.

This closing follows the Share Purchase Agreement (SPA) initially signed in October 2024 and the subsequent receipt of all required approvals from the Romanian Government, including the Competition Council and the Commission for the Examination of Foreign Direct Investments (CEISD). The successful authorization process confirms the transparent, lawful, and beneficial nature of the deal and reflects the strength of Trans-Oil Group’s sustainable business model.

With the completion of this acquisition, Frial SA becomes an integral part of the Trans-Oil Group, further enhancing its logistics and export infrastructure in the Black Sea region. Frial SA operates two specialized terminals in the Port of Constanța - one for dry bulk and general cargo, and one for liquid goods and vegetable oils - with an annual throughput capacity of 1.5 million tons of grains and 500 thousand tons of vegetable oil.

As part of the Group, Frial SA will continue its development and expansion, supported by a grant from the Romanian Ministry of Transportation and Infrastructure. The company is currently implementing an ambitious project to expand its storage capacity to up to 150,000 metric tons, reinforcing the strategic importance of the terminal and its contribution to regional trade flows.
