Aragvi Sea Terminal SRL Receives Romanian Authorities’ Approval for the Acquisition of Frial SA Port Terminal in Constanța

Trans-Oil Group is pleased to announce that its Romanian subsidiary, Aragvi Sea Terminal SRL, has received all necessary approvals from the Government of Romania and the Romanian Competition Council to finalize the acquisition of Frial SA, a port terminal operator active in the Port of Constanța.

Following a review conducted by the Commission for the Examination of Foreign Direct Investments (CEISD) and the Competition Council, the Government of Romania issued the official decisions authorizing the investment, thereby confirming the transparent, lawful, and beneficial nature of the transaction.

These approvals represent formal recognition of the Trans-Oil Group’s transparency, its shareholders and management, and the strength of its sustainable business model, focused on regional development, operational efficiency, and long-term partnerships. The Group extends its appreciation to the Romanian Government and competent institutions for their support and trust in the successful execution of this important step in its logistics expansion strategy.

The Acquisition of Frial SA – A Strategic Step in Enhancing Regional Logistics Infrastructure

In October 2024, Trans-Oil Group signed the share purchase agreement for the majority stake in Frial SA, a port infrastructure operator that owns two specialized terminals in the Port of Constanța: one for dry bulk and general cargo, and one for liquid products and vegetable oils.

This transaction is part of a broader strategy to strengthen the Group’s presence in the Black Sea region, aiming to optimize the logistics chain for transportation, storage, and export of grains and oilseeds from Romania and the wider region. The integration of Frial SA’s assets will enhance the Group’s operational capacity, increase efficiency, and ensure competitive and high-quality port services.
